By accessing or using the Service, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree, do not use the Service.
By accessing or using the Service, you confirm that you are at least 18 years of age (or the age of majority in your jurisdiction), have the authority to enter into these Terms, and agree to be bound by them and by our Privacy Policy. If you do not agree, do not use the Service.
2.1 Description of the Service. The "Service" includes our website at https://receipt-hunter.com and associated subdomains; our web and mobile applications; our back-end infrastructure (including Oracle Cloud hosting); integrations with QuickBooks Online (QBO), Xero (planned), Plaid and similar providers, POS systems, email forwarding and parsing, and SMS messaging and 10DLC-compliant channels. The Service helps businesses collect, centralize, and organize receipts and transaction documents; extract, classify, and normalize receipt data; associate receipts with transactions and accounting records; export structured data into accounting platforms (QBO, and in future Xero and others); and reduce manual time spent on receipts. 2.2 Third-Party Data Sources. When you connect third-party services (e.g., QBO, Xero, Plaid, POS, email, SMS), you authorize Receipt Hunter to access and retrieve data on your behalf, including transaction records, receipt images and PDFs, attachments and metadata, and account identifiers ("Account Data"). Receipt Hunter does not control or endorse Third-Party Data Sources and is not responsible for their availability, security, performance, or accuracy. Your relationship with each Third-Party Data Source is governed by that party's terms and privacy policies. 2.3 Limited License. Subject to your compliance with these Terms, Receipt Hunter grants you a limited, revocable, non-exclusive, non-transferable license to access and use the Service for your internal business purposes. You may not copy, modify, or create derivative works; rent, lease, sell, or sublicense; decompile or reverse engineer; bypass security; or use the Service to build a competing product. 2.4 Power of Attorney & Authorization. To enable the Service to retrieve and process Account Data, you appoint Receipt Hunter as your agent for the limited purpose of accessing, retrieving, and transmitting your Account Data from Third-Party Data Sources to you via the Service, and grant a limited power of attorney to perform such actions on your behalf as necessary to provide the Service. Receipt Hunter acts as your agent, not as the agent of any Third-Party Data Source; third parties may rely upon this authorization; and Receipt Hunter may use providers such as Plaid to facilitate secure access to your Account Data.
3.1 Eligibility. To use the Service, you represent and warrant that: you are at least 18 years of age; you have the legal capacity and authority to enter into these Terms; if using on behalf of a company, you are duly authorized to bind that company; and you have not been previously suspended or terminated by Receipt Hunter. If you do not meet these requirements, you must not use the Service. 3.2 Account Information. You may be required to provide your name, company name, contact information, billing and payment information, and other information. You agree to provide accurate, current, and complete information and to update it promptly. Receipt Hunter may suspend or terminate your account if you provide false, incomplete, or misleading information. 3.3 Account Security. You are responsible for maintaining the confidentiality of your credentials, preventing unauthorized access, and all activity under your account. Notify us immediately at support@receipt-hunter.com if you suspect unauthorized access. 3.4 Prohibited Conduct. You agree not to access or use the Service unlawfully; interfere with the Service; probe or test vulnerabilities; introduce viruses or harmful code; use bots or scrapers (except as permitted in writing); harass or harm others; or store or transmit infringing, defamatory, or illegal content. Receipt Hunter may investigate and take appropriate action in response to violations.
By using the Service, you consent to receive communications from us electronically (legal notices, security alerts, privacy disclosures, account and billing notifications, product or policy updates) via email, in-app messages, web banners, push notifications, or other electronic means. You agree that these satisfy any legal requirement that such communications be in writing. We may send push notifications regarding new receipts, integration errors, export status, and security events. You may control certain notification settings in the app or on your device. We may send marketing emails; you may opt out by clicking unsubscribe or emailing unsubscribe@receipt-hunter.com. Even if you opt out, we may still send transactional emails, security alerts, and service-related communications.
"Materials" include any content or data you submit through the Service (receipt images, PDFs, transaction notes, attachments, messages, feedback). You retain ownership of your Materials. You grant Receipt Hunter a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to host, store, reproduce, process, modify, adapt, display, and use your Materials solely to operate and improve the Service, provide support, train and improve our models using only aggregated and de-identified data, and comply with legal obligations. Receipt Hunter does not sell your financial data. If the Service includes public or shared areas, content you post may be visible to others; you are solely responsible for that content and for having rights to share it. You represent and warrant that you have all rights necessary to upload and use the Materials, that your Materials do not infringe third-party rights or contain harmful content, and that your use complies with applicable laws.
Some or all features may require subscription or usage-based fees (Fees). When you subscribe, you will see pricing, billing frequency, and plan details; you authorize Receipt Hunter (or its payment processor) to charge your payment method on a recurring basis until canceled. Fees are in U.S. dollars and generally non-refundable except where required by law or expressly stated. Seat additions may be charged pro-rated for the remainder of the billing cycle. Free trials may be offered; unless you cancel before the trial ends, your subscription will convert to a paid plan. Your subscription auto-renews unless you cancel via account settings or email support@receipt-hunter.com at least 24 hours before renewal. Upon cancellation, access continues until the end of the current paid period; fees already paid are not refunded unless required by law. If a payment fails, we may reprocess, suspend or limit access, or terminate your subscription; you remain responsible for unpaid amounts.
You may stop using the Service at any time and cancel your subscription as described in Section 6.3. Receipt Hunter may suspend or terminate your access at any time, with or without notice, if you violate these Terms or applicable law, use the Service in a way that creates risk or legal exposure, we discontinue or materially modify the Service, or we are required to do so by law or a third-party provider. Upon termination your right to use the Service ceases. For 30 days following termination we will allow you to retrieve or export your Account Data upon written request (unless your account was terminated for breach); after that we may delete your data per our retention policies. Provisions on ownership, payment obligations, disclaimers, limitation of liability, dispute resolution, indemnification, and other surviving terms remain in effect.
To the fullest extent permitted by law, the Service is provided "AS IS," "AS AVAILABLE," and "WITH ALL FAULTS." Receipt Hunter and its affiliates, officers, employees, contractors, partners, service providers, and licensors disclaim all warranties (express, implied, statutory, or arising by usage of trade), including merchantability, fitness for a particular purpose, non-infringement, and accuracy or availability of data. You understand that networks are subject to interruptions; data may be delayed, corrupted, or lost; third-party outages may affect the Service; and the Service may not be error-free. Receipt Hunter does not warrant the accuracy, completeness, or timeliness of data from Third-Party Data Sources or that integrations will remain available or compatible. The Service does not constitute financial, tax, legal, or accounting advice; you are solely responsible for your decisions and compliance with law.
To the fullest extent permitted by law, the Receipt Hunter Parties will not be liable for any indirect, incidental, special, consequential, or punitive damages, or loss of profits, revenue, data, goodwill, or business interruption arising from your access to or use of (or inability to use) the Service, any third-party conduct or content, any Third-Party Data Source or Integration, unauthorized access to your data, or these Terms. The total aggregate liability of the Receipt Hunter Parties for all claims shall not exceed the greater of: (1) the amount you paid to Receipt Hunter for the Service in the 12 months before the event giving rise to the claim, or (2) one hundred U.S. dollars (US $100). These limitations are a fundamental part of the bargain; the Service is priced in reliance on them.
10.1 Force Majeure. Receipt Hunter will not be liable for any delay or failure to perform resulting from events beyond our reasonable control (e.g., internet or network outages, cloud or third-party API failures, power failures, natural disasters, epidemics, war, government actions, cyberattacks). Our obligations will be suspended for the duration; we will make commercially reasonable efforts to resume. Your obligation to pay undisputed amounts remains. 10.2 Indemnification. You agree to defend, indemnify, and hold harmless the Receipt Hunter Parties from and against any claims, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from your breach of these Terms or law, your use or misuse of the Service, your Materials, your use of Third-Party Data Sources and Integrations, or use by persons you allow to access your account. Receipt Hunter may assume the exclusive defense of any matter subject to indemnification; you agree to cooperate and not settle without our prior written consent.
Receipt Hunter may enable or rely upon various third-party services and integrations as part of the Service (e.g., QuickBooks Online, Xero, Plaid, POS, SMS providers, email providers, Oracle Cloud). Receipt Hunter does not control and is not responsible for the content, policies, performance, or fees of Third-Party Services or changes they make. Your use is at your own risk and governed by those parties' terms. Receipt Hunter disclaims responsibility for losses, data inaccuracies, outages, or restrictions caused by third parties.
Receipt Hunter may cooperate with law enforcement and regulators as required by law. We may access, preserve, and disclose information including Account Data if reasonably necessary to comply with laws, respond to lawful requests, enforce these Terms, investigate fraud or abuse, or protect rights and safety. We may notify you of such requests where not prohibited. We are not obligated to challenge government demands.
You and Receipt Hunter agree that disputes arising from these Terms or the Service will be resolved exclusively by binding arbitration, not in court. You waive jury trial and class action rights. Arbitration is administered by the AAA. Send a written Notice of Dispute to Receipt Hunter LLC, 11230 Gold Express Drive, #310-410, Gold River, CA 95670 before starting arbitration; both parties will attempt informal resolution for 30 days. Hearings are in Sacramento County, California, or virtually. You may opt out within 30 days of first accepting these Terms by emailing support@receipt-hunter.com with subject Arbitration Opt-Out. Small claims and injunctive relief in court remain available where permitted.
Nothing in these Terms prohibits activity protected by law (e.g., communicating with government agencies, filing complaints, participating in investigations). You may do so without notifying or seeking authorization from Receipt Hunter where permitted. You agree to take reasonable steps to avoid exposing trade secrets or privileged communications where legally permissible. These Terms do not limit non-waivable rights or authorize retaliation for lawful protected activity.
These Terms and any dispute are governed by the laws of the State of California, without regard to conflict of law rules. To the extent a dispute is not subject to arbitration, exclusive jurisdiction and venue are the state and federal courts in Sacramento County, California. You and Receipt Hunter consent to personal jurisdiction and waive objection to venue. The UN Convention on Contracts for the International Sale of Goods does not apply.
If you provide suggestions, ideas, or feedback regarding the Service, Receipt Hunter may use and exploit such Feedback without restriction or compensation. You assign to Receipt Hunter all right, title, and interest in such Feedback. Receipt Hunter has no obligation to use or incorporate any Feedback.
These Terms, with our Privacy Policy, any terms presented at subscription or feature activation, and any signed addenda, constitute the entire agreement and supersede all prior agreements. Additional terms control only for the specific Service or feature to which they apply if expressly stated.
If any provision is held invalid, illegal, or unenforceable, it will be enforced to the maximum extent permissible or deemed severed. Remaining provisions continue in full force. The parties will endeavor to replace severed provisions with valid ones reflecting original intent.
Nothing in these Terms creates a partnership, joint venture, employment, fiduciary, or agency relationship (other than the limited agency in Section 2.4). Neither party may bind the other. You are responsible for your employees, agents, and contractors and their compliance with these Terms.
No waiver of any provision is effective unless in writing and signed or issued by an authorized representative. No failure or delay in exercising a right operates as a waiver. A waiver of one breach is not a waiver of any other breach.
You may not assign or transfer these Terms or your rights or obligations without Receipt Hunter prior written consent. Any attempted assignment in violation is void. Receipt Hunter may assign in connection with a merger, acquisition, reorganization, or sale of assets, or to an affiliate or successor. These Terms bind and inure to the benefit of the parties and permitted successors and assigns.
Except as expressly provided, there are no third-party beneficiaries and no third party may enforce these Terms. Certain Receipt Hunter licensors, vendors, or service providers may be entitled to enforce specific provisions as third-party beneficiaries.
You represent that you are not in a country subject to a U.S. Government embargo or on a prohibited or restricted list. You will not export, re-export, or transfer the Service in violation of export or sanctions laws. You are responsible for compliance with export and import regulations.
Section headings are for convenience only. Including means without limitation. Written includes electronic communications where permitted. The English version controls over any translation. No presumption arises against a party based on drafting.
